Terms of Service

1. Agreement to Terms

By accessing our website (https://novuxtechnology.com) or engaging Novux Technology ("Company," "we," "us") for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

Novux Technology provides custom software development, web design, mobile application development, and related digital services. Specific deliverables, timelines, and pricing are defined in individual project agreements (Statements of Work or contracts) signed by both parties.

3. Project Agreements

Each engagement is governed by a signed project agreement that specifies:

  • Scope of work and deliverables
  • Payment schedule and amounts
  • Timeline and milestones
  • Intellectual property ownership
  • Revision and change request procedures

In the event of a conflict between these Terms and a signed project agreement, the project agreement prevails.

4. Payment Terms

Unless otherwise specified in a project agreement:

  • Payment is due within 15 days of invoice
  • Late payments accrue interest at 1.5% per month
  • Work may be paused for overdue invoices exceeding 30 days
  • All fees are non-refundable once work has commenced on a milestone

5. Intellectual Property

Upon receipt of final payment for a project:

  • Client receives full ownership of all custom code, designs, and content created for the project
  • We retain the right to display the work in our portfolio unless a written NDA restricts this
  • Open-source libraries and third-party components remain subject to their respective licenses
  • Pre-existing tools and frameworks we own or license are not transferred

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the termination of any project. Upon request, we will sign a separate Non-Disclosure Agreement (NDA).

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner. We provide a 30-day warranty on delivered work for bug fixes related to our implementation. Beyond this:

  • Our website and services are provided "as is" without warranties of any kind
  • We do not warrant that services will be error-free or meet all client expectations not explicitly defined in the project scope

8. Limitation of Liability

To the maximum extent permitted by law, Novux Technology shall not be liable for indirect, incidental, special, or consequential damages arising from our services. Our total liability shall not exceed the total fees paid by you for the specific project giving rise to the claim.

9. Termination

Either party may terminate a project engagement with 14 days written notice. Upon termination:

  • Client pays for all work completed up to the termination date
  • We deliver all completed work product
  • Neither party owes further obligations after settlement

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Disputes shall be resolved in the courts of San Francisco County, California.

11. Website Use

You agree not to:

  • Use our website for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Reproduce or distribute our content without permission
  • Transmit malware or harmful code

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes are effective upon posting to our website. Continued use constitutes acceptance.
